Terms of Service

These Terms of Service (the “Terms”) form an agreement between you and Jincove LLC, a Wyoming limited liability company and the operator of ReelWand (“ReelWand,” “we,” “us” or “our”), for your access to and use of reelwand.com and its visual-creation services (the “Service”). Jincove LLC’s registered address is 30 N Gould St Ste N, Sheridan, WY 82801, USA. By creating an account, purchasing a plan or using the Service, you agree to these Terms.

Our Acceptable Use Policy is part of these Terms. Our Privacy Policy explains how we handle personal information. If you use the Service for an organization, you confirm that you have authority to bind that organization to these Terms.

You must be at least 13 years old and legally permitted to use the Service. If you have not reached the age of majority where you live, a parent or legal guardian must review and accept these Terms for you. You may not use the Service if applicable law prohibits you from doing so.

You must provide accurate account information, keep access to your email and sign-in provider secure, and tell us promptly if you suspect unauthorized use. You are responsible for activity under your account and may not sell, transfer or share account access in a way that defeats plan limits or security controls.

ReelWand lets you submit text instructions, reference media and settings (“Inputs”) to purpose-built visual agents. The Service sends the information needed for a request to third-party AI and infrastructure providers and returns generated images or related text (“Outputs”). Video tools may appear in editorial material, but video rendering is not a live paid feature while it is marked unavailable in the product. Available agents, models, formats, resolution and processing times may change.

AI Outputs are probabilistic. They may be inaccurate, incomplete, offensive, non-unique or similar to material created for others. We do not guarantee that an Output is eligible for copyright, free of third-party rights, fit for a particular purpose or accepted by a platform, regulator or customer. You must review each Output and use appropriate human judgment before publishing, selling or relying on it.

As between you and ReelWand, you keep your rights in your Inputs. We do not claim ownership of your Outputs, but rights in AI-generated material vary by jurisdiction and may also be affected by the terms of the model provider used for a request. No provision in these Terms transfers rights that cannot legally exist or that belong to another person.

You give us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, transform and display your Inputs and Outputs only as reasonably needed to operate, secure and support the Service, enforce our policies and comply with law. You confirm that you have all rights and consents needed for every Input, including permission to use any person’s image, likeness, voice, brand or protected work.

Do not submit confidential, regulated or highly sensitive information unless you are comfortable with it being processed by the third-party providers described in our Privacy Policy.

Credits meter generation use; they are not money, stored value or cryptocurrency. Credits cannot be transferred, exchanged for cash or used outside ReelWand. Each run is charged at the rate shown for the live model below. A run holds the stated credits when it starts; if the run fails or is cancelled before completion, the Service returns that hold to the same usage period automatically.

Paid allowances reset at the start of each monthly billing period (anchored to your subscription’s renewal date) and unused credits do not roll over. The Free plan is a one-time grant and does not refill. Enterprise terms, pricing and allowances are agreed separately. Any referral or promotional credits are non-transferable, have no cash value and are subject to the terms presented with the offer.

These tables reflect the Service on the effective date above. Current pricing, included features and generation charges are shown in the product or checkout before you commit. We may change future prices, allowances and model costs; changes to an existing paid subscription apply prospectively and will be communicated before they take effect where required by law.

Self-serve paid plans are monthly subscriptions billed in US dollars and renew automatically until cancelled. Credit allowances reset with each paid monthly billing period. The price and any applicable taxes are shown at checkout.

Jincove LLC is the seller of record. Payments are processed by Stripe, which hosts checkout, processes your payment method and sends payment events to ReelWand. Any applicable taxes are shown at checkout. Stripe’s own terms and privacy policy also apply to payment processing. We do not receive your complete payment-card number.

You authorize recurring charges for the plan selected at checkout. If payment fails or a subscription expires, is refunded or becomes unpaid, paid access may be suspended or changed to the Free plan. You remain responsible for charges incurred before the effective cancellation or termination date.

You can change between self-serve paid plans in your account. An upgrade takes effect immediately: the difference for the remainder of the current billing period is charged on a prorated basis, your credit allowance increases to the new plan’s bucket and credits already used in the period continue to count. A downgrade takes effect at the end of the current billing period; until then your current plan and allowance remain unchanged. Scheduled downgrades can be cancelled any time before they take effect.

You may cancel a paid subscription through the Subscription area in your ReelWand account, which opens the Stripe customer portal. If you cannot access the portal, email support@reelwand.com. The portal shows whether cancellation is immediate or scheduled for the end of the current paid billing period. Paid access ends on the effective date shown in the portal, so download any Outputs you want to keep first. Cancellation stops future renewals; it does not by itself create a refund or convert unused credits into cash.

Because paid plans provide immediate access to digital services and credit allowances, completed charges are generally non-refundable except where applicable law requires otherwise or we expressly agree. To request review of a charge, contact us with your account email, order reference, charge date and reason. Any approved refund is processed through Stripe to the original payment method; bank and payment-network timing may vary.

This section does not limit mandatory consumer cancellation, cooling-off or refund rights that apply where you live. Credits automatically returned for a failed or cancelled generation are usage adjustments, not payment refunds. See our Refund & Cancellation Policy for a plain-language summary.

You must follow our Acceptable Use Policy. It expressly prohibits NSFW, pornographic, explicit or sexually suggestive content; harmful and illegal content; face swaps, deepfakes and face manipulation; non-consensual uses of a person’s likeness; infringement; and abuse of the Service.

We may block a request, remove content, restrict features, suspend an account or terminate access when we reasonably believe activity violates these Terms, creates risk for users or providers, or is required by law. We may preserve and disclose information where legally required. Serious suspected harm or exploitation may be reported to relevant authorities.

ReelWand and its licensors retain all rights in the Service, including its software, interface, visual agents, workflows, branding, documentation and server-side instructions. Subject to these Terms, we give you a limited, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose.

You may not copy or resell the Service, scrape it at scale, bypass access or credit controls, reverse engineer it except where law expressly permits, extract private instructions, introduce malicious code, interfere with other users or use automated access outside interfaces we make available.

The Service depends on third parties for authentication, AI generation, hosting, storage, analytics, email and billing. Their services and models may be unavailable, changed or discontinued without our control. Your use of a third-party feature may also be governed by that provider’s terms. We are not responsible for third-party sites, services or content, but we remain responsible for our own obligations under applicable law.

To the maximum extent permitted by law, the Service and Outputs are provided “as is” and “as available.” We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, availability, accuracy and uninterrupted or error-free operation. We do not guarantee a particular creative result, generation time, model or commercial outcome.

Nothing in these Terms excludes a warranty or responsibility that cannot lawfully be excluded, including mandatory consumer protections.

To the maximum extent permitted by law, ReelWand, Jincove LLC and their suppliers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from or related to the Service or Outputs.

To the maximum extent permitted by law, our total liability for all claims arising from or related to the Service will not exceed the amount you paid for the Service during the 12 months before the event giving rise to the claim. These limitations do not apply where liability cannot legally be limited.

You may stop using the Service at any time. You may ask us to close your account or delete personal information by emailing us. A data-deletion request does not itself cancel a subscription, so state clearly if you also want recurring billing cancelled.

We may suspend or terminate the Service or an account for a material or repeated breach, security risk, nonpayment, legal requirement or discontinuation of the Service. Sections that by their nature should survive termination, including payment obligations, ownership, disclaimers and liability limits, will survive.

We may update these Terms as the Service or law changes. We will post the revised version with a new effective date and provide additional notice of material changes where required. Continuing to use the Service after revised Terms take effect means you accept them; if you do not agree, stop using the Service and cancel any subscription.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, sale or transfer of the Service.

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, and by applicable United States federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to any mandatory consumer-protection rights that apply where you live, you and Jincove LLC agree that the state and federal courts located in Wyoming have exclusive jurisdiction over any dispute not resolved informally, and you consent to personal jurisdiction and venue there. Before filing a claim, please contact us so we can try to resolve the matter first. Nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence.
